Commercial structuring: purchase, lease or power purchase agreement

A like-for-like comparison of buying a system outright, leasing it, or buying its output under a power purchase agreement, so that offers structured differently can be compared on the same basis.

When to commission it

  • Offers have been received on different commercial models and cannot be compared directly.
  • A PPA or lease is proposed with dollar-linked or indexed tariffs.
  • The company wants to keep capital expenditure off its balance sheet.

Scope

  • Normalisation of offers to a common cost per kWh over the contract term.
  • Review of tariff indexation, currency exposure and minimum offtake obligations.
  • Analysis of termination, buy-out, transfer and end-of-term provisions.
  • Risk allocation for performance, maintenance, insurance and grid changes.

What you receive

  • Comparison report with a recommended structure and the reasons for it.
  • Term sheet points to negotiate with the preferred provider.
